x2i Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the services provided by x2i (“Company”, “we”, “us”, “our”), including our software, website, cloud-based platform, integrations, and related services (collectively, the “Service”). By using or subscribing to the Service, you (“Customer”, “you”, “your”) accept and agree to these Terms. If you do not agree, please do not use the Service.
1. Definitions
“Service” — the software, functionality, integrations, AI agents, dashboards, and other components delivered by x2i, under one of the deployment models (x2i Cloud, Customer Cloud, or On-Premise).
“Customer Data” — data you provide or allow x2i to access (e.g., inventory records, labor logs, telemetry data, system events, ERP/WMS/TMS data, configuration data, etc.).
“User” — an individual authorized by Customer to use the Service under Customer’s account.
“Account” — the registration or subscription entity through which Customer accesses the Service.
“Documentation” — user manuals, guides, help articles, and other documentation provided by x2i.
2. Scope of License & Use
2.1 License Grant
Subject to these Terms and payment of all applicable fees, x2i grants Customer a non-exclusive, non-transferable, revocable right to access and use the Service for internal business operations, consistent with the Agreement and Documentation.
2.2 Restrictions
Customer agrees not to:
sublicense, sell, rent, lease, or otherwise make the Service available to third parties beyond its own organization;
reverse engineer, decompile, disassemble, or attempt to derive source code;
use the Service in a manner that violates applicable laws or third-party rights;
interfere with or disrupt the integrity or performance of the Service;
attempt to defeat or bypass security or access controls.
3. Customer Responsibilities
Customer shall provide accurate information for registration and account setup.
Customer is responsible for its Users’ compliance with these Terms.
Customer is responsible for maintaining the confidentiality of its account credentials and any access to the Service.
Customer shall comply with applicable laws regarding its data — including personal data, regulated goods, export controls, data privacy regulations (e.g., GDPR, CCPA) where relevant.
4. Fees, Payment & Billing
Fees for the Service (subscription, implementation, integration, customization) will be set forth in a separate Order Form.
Payment terms (billing frequency, invoicing, late fees) will be specified in the Order Form.
Unless otherwise agreed, fees are non-refundable.
x2i reserves the right to change pricing, but will notify Customer at least 30 days in advance.
5. Deployment Options & Service Levels
5.1 Deployment Models
Customer may choose among: x2i Cloud (managed), Customer Cloud (dedicated), or On-Premise deployment. Deployment choice may impact data hosting, maintenance responsibilities, integrations, and support level.
5.2 Service Availability & Maintenance
We aim to maintain high availability of the Service. Scheduled maintenance will be communicated in advance. Emergency maintenance may occur as needed, with attempts to minimize disruption.
5.3 Support
Support levels, response times, and scope will be defined in a separate Support Agreement or Order Form, if applicable.
6. Data Use, Privacy & Security
Use and handling of Customer Data and Personal Data is governed by our separate Privacy Policy, which is hereby incorporated by reference.
Customer retains ownership of its data. x2i acts as data processor when handling Customer Data, following reasonable security, encryption, and isolation practices.
7. Intellectual Property
x2i retains all rights, title, and interest in the Service, software, models, AI agents, Documentation, trademarks, and any derivative works.
Customer owns its Customer Data. x2i obtains no ownership rights in Customer Data.
Customer grants x2i a limited license to use, analyze, and process Customer Data only for delivering the Service, performing integrations, analytics (if permitted), and improving system performance — always under confidentiality protections.
8. Confidentiality
Both parties agree to maintain the confidentiality of non-public information disclosed in connection with the Service (e.g., data, processes, pricing, configurations). Confidential information will not be shared with third parties except as required to provide the Service or as required by law.
9. Term, Renewal & Termination
9.1 Term
These Terms remain in effect while Customer has an active Account or subscription.
9.2 Termination by Customer
Customer may cancel the subscription in accordance with the termination terms defined in the Order Form.
9.3 Termination by x2i
x2i may suspend or terminate Service for breach of Terms, non-payment, or misuse.
9.4 Effect of Termination
Upon termination:
Customer’s access to the Service ends
Customer Data will be deleted or returned per data retention policy
Licenses granted are revoked
10. Warranties, Disclaimers & Liability Limitation
10.1 No Warranty
The Service is provided “as is” and “as available.” x2i disclaims all warranties (express, implied, statutory), including merchantability, fitness for purpose, non-infringement, uninterrupted service, or data accuracy.
10.2 Limitation of Liability
To the maximum extent permitted by law, x2i’s total liability under these Terms shall not exceed the amount Customer paid for the Service in the 12 months prior to the claim. Under no circumstances will x2i be liable for lost profits, lost data, consequential or special damages, or other indirect losses.
11. Indemnification
Customer agrees to indemnify and hold harmless x2i and its personnel from any claims, liabilities, damages, or expenses resulting from Customer’s misuse of the Service, or violation of laws or third-party rights.
12. Acceptable Use Policy
Customer and Users must not use the Service for illegal, harmful, or abusive purposes. Prohibited uses include (but are not limited to): causing disruption, uploading malicious code, violating third-party rights, or using data unlawfully.
13. Governing Law & Dispute Resolution
These Terms are governed by Delaware law. Any dispute arising from or in connection with these Terms will be submitted to the exclusive jurisdiction of the competent courts of Delaware.
14. Changes to Terms
x2i may modify these Terms occasionally. If material changes are made, we will notify Customer via email or in-app notice. Continued use after notice constitutes acceptance.
15. Entire Agreement
These Terms, together with the Privacy Policy, any Order Form, and / or any applicable Support Agreement or Data Processing Agreement, constitute the entire agreement between Customer and x2i on the subject.
